Contract for provision ok services
Between:
SOLANDRA S.r.l. unipersonale company, headquartered in Florence (CAP 50121), Via della Condotta n. 12, tax code, VAT number and incorporation number at Florence Companies House 04368380483, REA n. 443672 at CCIAA of Florence, in the person of the sole director Diego Paternò Castello di San Giuliano, born in Florence on 23 November 1970, resident in Via San Leonardo n.51, tax code PTR DGI 70S23 D612O, hereinafter also identified only as “Manager“
AND
CUSTOMER
Whereas
- Solandra S.r.l. company has the availability of the historic mansion called “Tenuta San Giuliano”, located in Contrada San Giuliano snc, Villasmundo (hamlet of Melilli), Siracusa, which uses for its activities, within the aforementioned villa, organization and management, including through the use of third parties services, events, ceremonies, conferences, seminars etc. with the management of banqueting activities by external staff;
- The Manager, in the execution of this contract, makes use of both its own means (including kitchen furniture and related equipment) at the premises of the Villa and third parties and puts out to contract to external suppliers catering business;
- This contract, therefore, does not entail any subordination of the workers with the Customer and the latter is relieved from any obligation and liability for salaries, insurance and social security contributions, accident insurance.
In the light of the above and with the understanding that the premises are an integral part of this Agreement.
The parties hereby agree and stipulate as follows:
Art. 1 – Subject of the contract
By signing this contract, the Manager will provide the following services:
- STAY WITH YOGA AND WATERCOLOR COURSES
- TRANSFERS TO/FROM CATANIA AIRPORT
- ONE OUTDOOR EXCURSION
Art. 2 – Duration of the contract
This service will begin on the first day of collection and will continue for the entire duration of this contract, until the last day of collection.
Art. 3 – Fees for services
The costs per person of the services described above have the following costs:
- QUEEN’S ROOM: 4.200,00 euros single use;
- PRINCESS’S ROOM: 3.500,00 euros single use // 3.000,00 per person if shared;
- FAIRY’S ROOM 3.000,00 euros single use // 2.500,00 per person if shared.
Art. 4 – Services not included
- TRAVEL COST
- REIKI HEALING private sessions
- Watercolor material
- Restaurants
Art. 5 – Payment of services
The Customer must make a deposit payment of €500.00 required to confirm the reservation within 3 days of receiving the email access to the registration and reservation system. This payment must be made by credit/debit card. THIS IS A NON-REFUNDABLE DEPOSIT.
The remaining balance within 30 days (with automatic reminder received by email), or for those who wish, the entire reservation amount.
Art. 6 – Obligations of the parties
6.1 The premises, the furniture, the paintings, the furnishings, any other objects in the premises, as well as the equipment therein, must be kept in a perfect state of preservation and care by the Customer, who is its guardian.
The Customer also undertakes to maintain in perfect condition the grass of the gardens surrounding the Villa.
6.2 In the event that the Customer wishes to cancel his reservation for any reason, the Customer must inform the Manager in writing. The cancellation will take effect only when the Manager receives this written notification. The following cancellation fees and conditions will apply:
- if the cancellation is communicated by the Customer 60 days before the date of the beginning of the provision of services, the Owner will have the right to withhold the prepayment of 30% DEPOSIT;
- if the cancellation is communicated by the Customer less than 59 days to 30 days before the start date of the services, we will refund up to 40% of the payment done;
- if the cancellation is communicated less 30 days before, the Owner will have the right to withhold the total payment of the Customer.
6.3 The Manager shall have no liability and no refund will be made in the event that the Customer is unable to travel to the property for any reason (for example, due to transport difficulties or health problems). The Costumer is advised to make sure that the travel insurance guarantees the coverage in this situation.
6.4 The Manager cannot be held responsible for any interruption on the service caused by the providers.
6.5 This Service Contract is governed by Italian law. Where the Customer resides in an EU member state, any claim of the Customer against the Owner may be brought before the courts of that State. Otherwise, both the owner and the customer agree that all claims will be dealt with by the courts of the country in which the property is located. Any claim of the Client against the Agent must be brought before the Italian courts to the exclusion of all others.
Art. 7 – Express termination clause
Notwithstanding the foregoing, non-payment even partial of the fees indicated in art. 3 or of the additional charges, within the terms indicated in the contract, will produce according to law the termination of the contract for fault of the Customer, notwithstanding the obligation to pay the due and the damages in favor of the Manager, in accordance to art. 1456 of the Civil Code.
